This website is operated by Her Dailys. Throughout the site, the terms “we,” “us” and “our” refer to Her Dailys.

Her Dailys offers this website, including all information, tools, products and services available through this site, to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated herein.

By visiting our site, creating an account and/or purchasing something from us, you engage in our “Service” and agree to be bound by these Terms of Service, also referred to as the “Terms,” including any additional terms, conditions and policies referenced herein or made available by hyperlink.

These Terms apply to all users of the site, including, without limitation, users who are browsers, customers, merchants, vendors and/or contributors of content.

Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use the Service.

If these Terms are considered an offer, acceptance is expressly limited to these Terms.

Any new features or tools added to the current store will also be subject to these Terms. You may review the most current version of the Terms at any time on this page.

We reserve the right to update, change or replace any part of these Terms by posting updates or changes to our website, subject to applicable law. Your continued use of or access to the website after changes are posted constitutes acceptance of those changes.

Our store is hosted by Shopify Inc. Shopify provides us with the online e-commerce platform that allows us to sell our products and services to you.

SECTION 1 — ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your province, state or jurisdiction of residence.

If you permit a minor dependant to access or use this site, you represent that you are the age of majority in your jurisdiction and have provided your consent for that dependant to use the site.

You may not use our products or Service for any illegal or unauthorized purpose. In using the Service, you must not violate any applicable law, including, without limitation, copyright, intellectual property, consumer-protection and privacy laws.

You must not transmit any worms, viruses, malware or other code of a destructive nature.

A breach or violation of these Terms may result in the immediate suspension or termination of your access to the Service, subject to applicable law.

We reserve the right to refuse service to anyone for any lawful reason at any time, subject to applicable law.

You understand that content you submit through the Service, other than payment-card information, may be transferred unencrypted and may involve:

Transmissions over various networks; and
Changes made to conform and adapt to the technical requirements of connecting networks or devices.

Payment-card information is encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, access to the Service or any contact through which the Service is provided without our prior written permission.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 — ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We make reasonable efforts to provide accurate and current information. However, information made available through the site may occasionally be inaccurate, incomplete or outdated.

We reserve the right to modify the contents of this site at any time. Except as required by applicable law, we do not undertake an obligation to update all information on the site. You are responsible for monitoring changes to information relevant to your use of the Service.

SECTION 4 — MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right to modify, suspend or discontinue the Service, or any portion of the Service, at any time without notice, subject to applicable law.

We will not be liable to you or any third party for a modification, price change, suspension or discontinuation of the Service, except to the extent liability cannot be excluded under applicable law.

Changes to product pricing will not ordinarily affect an order that we have already accepted, except where there has been an obvious pricing error or as otherwise permitted by applicable law.

Subscribe & Save pricing and changes to subscription pricing are also subject to Section 8 of these Terms.

SECTION 5 — PRODUCTS AND SERVICES

Certain products or services may be available exclusively online through the website. Products may have limited quantities and are subject to return or refund only in accordance with our Return, Refund and HER dailys Promise Policy and applicable law.

We have made reasonable efforts to display as accurately as possible the colours, packaging and images of products appearing on the site. However, we cannot guarantee that the display of a colour, image or other product detail on your device will be completely accurate.

Product packaging, labels, ingredients, appearance and other details may occasionally differ from website images due to product updates, manufacturing changes or differences in device displays. The product label and packaging received with the product should be reviewed before use.

We reserve the right, but are not obligated, to limit the sale of products or services to any person, geographic region or jurisdiction, subject to applicable law. We may exercise this right on a case-by-case basis.

We reserve the right to limit the quantities of products or services offered or purchased by a customer, account or household.

Product descriptions and prices are subject to change without notice. We reserve the right to discontinue a product at any time.

Any offer for a product or service made through this site is void where prohibited.

Except as expressly provided through the HER dailys Promise or otherwise expressly stated by us, we do not guarantee that a product will satisfy a customer’s personal preferences or produce a particular medical, therapeutic, nutritional, fertility, pregnancy, postpartum, hormonal, wellness or other health outcome.

Nothing in these Terms limits a representation, warranty, condition, right or remedy that cannot legally be excluded.

SECTION 6 — ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse, limit or cancel an order, subject to applicable law.

We may limit or cancel quantities purchased per person, household, customer account or order. These restrictions may include orders placed through the same customer account, using the same payment method or using the same billing or shipping address.

We may also limit or prohibit orders that, in our reasonable judgment, appear to have been placed by dealers, resellers, distributors or other parties purchasing for resale or redistribution.

If we change or cancel an order, we may attempt to notify you using the email address, billing address and/or telephone number provided when the order was placed.

You agree to provide current, complete and accurate account and purchase information for all purchases made through the store.

You agree to promptly update your account information, including your email address, billing information and payment information, so that we can complete transactions and contact you when necessary.

You represent that you are authorized to use any payment method submitted in connection with an order.

SECTION 7 — RETURNS, REFUNDS AND THE HER DAILYS PROMISE

Returns and refunds for products purchased directly through herdailys.com are governed by our Return, Refund and HER dailys Promise Policy, which is incorporated into these Terms by reference.

Standard returns

Eligible unopened products may qualify for a standard return where:

A return request is submitted within 30 calendar days of delivery;
The product box and all individual sachets remain unopened, unused and sealed;
The product remains in its original condition; and
All other requirements of our Return, Refund and HER dailys Promise Policy are satisfied.

For the purposes of the return period, delivery is generally determined using the date recorded by the applicable shipping carrier.

Standard returns may be subject to customer-paid return shipping and a 15% restocking fee, as described in the Return, Refund and HER dailys Promise Policy.

Original and expedited shipping charges and other order-level service charges are generally non-refundable unless the return results from our error or applicable law requires otherwise.

The HER dailys Promise

The HER dailys Promise provides:

Try your first order with confidence. If the taste, format, or daily routine is not right for you, we will make it right.

The HER dailys Promise is a limited first-order customer satisfaction program available for eligible first orders purchased directly through herdailys.com.

Under the HER dailys Promise, “make it right” means that Her Dailys will provide an approved refund of the eligible product purchase price in accordance with the Return, Refund and HER dailys Promise Policy.

The HER dailys Promise relates only to:

The taste of the product;
The product’s drinkable format; or
The suitability of the product for the customer’s daily routine.

It is not a guarantee that a product will produce a particular medical, therapeutic, nutritional, fertility, pregnancy, postpartum, hormonal, wellness or other health outcome.

A request under the HER dailys Promise must be submitted within 30 calendar days of delivery and must satisfy all eligibility requirements in the Return, Refund and HER dailys Promise Policy. These requirements include the applicable unused-product threshold, return of the original box and remaining sachets, proof of purchase and the one-use-per-customer-and-household limitation.

The 15% restocking fee does not apply to an approved HER dailys Promise claim.

Return authorization and inspection

Products must not be returned without authorization from our customer care team.

Approval of a return request does not constitute final approval of a refund. Returned products may be inspected and verified after receipt to confirm that the applicable eligibility requirements have been satisfied.

Refunds will be calculated using the amount actually paid for the eligible product after applicable discounts, credits, promotional adjustments and other price reductions.

Third-party purchases

Only purchases made directly through herdailys.com are eligible under our Return, Refund and HER dailys Promise Policy.

Products purchased from a retailer, marketplace or other third-party seller must be returned to the original place of purchase and will be subject to that seller’s applicable return and refund policy.

Her Dailys cannot issue a refund for an amount paid directly to another seller.

Damaged, defective, incomplete or incorrect orders

Damaged, defective, incomplete and incorrect orders are addressed in our Return, Refund and HER dailys Promise Policy.

Where a claim is verified, we may provide a replacement, refund or other appropriate remedy, subject to product availability and applicable law.

Customers will not be charged a restocking fee or required to pay return shipping for a verified product defect, shipping damage or fulfilment error caused by Her Dailys.

Priority of the Return Policy

If these Terms and the Return, Refund and HER dailys Promise Policy contain an inconsistency relating specifically to a return, refund or HER dailys Promise claim, the Return, Refund and HER dailys Promise Policy will govern to the extent of that inconsistency, unless applicable law requires otherwise.

Nothing in these Terms or the Return, Refund and HER dailys Promise Policy limits, excludes or waives a non-waivable right or remedy available under applicable consumer-protection legislation.

SECTION 8 — SUBSCRIBE & SAVE

Certain products may be offered through an automatically renewing Subscribe & Save program.

By enrolling in Subscribe & Save, you authorize us and our payment-service providers to charge the payment method associated with your subscription for recurring orders at the price and frequency disclosed when you enrol, together with applicable taxes, shipping charges and other disclosed charges.

The available subscription frequency, discount, product quantity, price and next scheduled order date will be disclosed through the applicable product page, checkout process, customer account or subscription communication.

Subscription renewals

Unless cancelled, skipped or otherwise modified before the applicable processing deadline, your subscription will automatically renew and an order will be processed at the selected frequency.

You are responsible for reviewing upcoming subscription orders and maintaining accurate billing, payment and shipping information.

We may attempt to process a payment again if an initial subscription payment is unsuccessful.

Managing or cancelling a subscription

You may manage, skip, modify or cancel an eligible upcoming subscription order through your customer account or by following the instructions provided through our website or subscription communications.

Changes or cancellations must be completed before the applicable order-processing deadline.

Cancelling a subscription prevents eligible future renewal orders from being processed. Cancelling a subscription does not automatically cancel or refund an order that has already been processed.

Subscription returns and the HER dailys Promise

The first delivery of a new Subscribe & Save subscription may qualify under the HER dailys Promise, provided all applicable eligibility requirements are satisfied.

Recurring Subscribe & Save renewal orders are not eligible for a voluntary return or refund after they have been processed, except where:

The order arrives damaged, defective, incomplete or incorrect;
Her Dailys expressly agrees otherwise in writing; or
A cancellation, return, replacement or refund is required by applicable law.

For prepaid, bundled or multi-month subscriptions, only one opened box of each distinct eligible product may qualify under the HER dailys Promise. Additional boxes must remain unopened, sealed, unused and in their original condition to qualify for a standard return.

Subscription changes

We may change the products, pricing, discounts, frequency options or other terms associated with Subscribe & Save.

Where required by applicable law, we will provide notice of a material change before it applies to an upcoming renewal.

If a subscribed product is unavailable, we may delay or cancel the affected order. We will not substitute a materially different product without your authorization.

SECTION 9 — OPTIONAL TOOLS

We may provide access to third-party tools over which we do not monitor and have no control or input.

You acknowledge and agree that we provide access to third-party tools on an “as is” and “as available” basis without warranties, representations or conditions of any kind and without endorsement, except to the extent otherwise required by applicable law.

We will not be liable for claims arising from or relating to your use of optional third-party tools, except to the extent liability cannot be excluded by law.

Your use of optional tools is at your own risk and discretion. You should review and approve the terms on which tools are provided by the applicable third-party provider.

We may offer new services or features through the website in the future. New features and services will also be subject to these Terms.

SECTION 10 — THIRD-PARTY LINKS

Content, products and services available through the Service may include materials or services provided by third parties.

Third-party links may direct you to websites that are not affiliated with us.

We are not responsible for examining or evaluating the content, accuracy, availability, security or practices of third-party websites, and we do not warrant or assume responsibility for third-party materials, websites, products or services.

We are not liable for harm or damages related to the purchase or use of goods, services, resources or content, or other transactions made through third-party websites, except to the extent liability cannot be excluded by law.

Please review the applicable third party’s policies and practices before engaging in a transaction. Complaints, claims, concerns or questions regarding third-party products or services should be directed to that third party.

SECTION 11 — USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If, at our request, you submit contest entries or other materials, or if, without a request from us, you submit creative ideas, suggestions, proposals, plans, feedback, reviews or other materials by any means, collectively referred to as “comments,” you agree that we may, subject to applicable law, edit, copy, publish, distribute, translate and otherwise use those comments in any medium without restriction.

We are not obligated:

To maintain comments in confidence, unless otherwise required by law or expressly agreed in writing;
To pay compensation for comments; or
To respond to comments.

We may, but are not obligated to, monitor, edit or remove content that we reasonably determine is unlawful, offensive, threatening, libellous, defamatory, obscene, misleading or otherwise objectionable, or that violates intellectual property rights or these Terms.

You agree that your comments will not violate the rights of any third party, including copyright, trademark, privacy, personality or other personal or proprietary rights.

Your comments must not contain unlawful, abusive, defamatory or obscene material or any virus, malware or code that could affect the operation of the Service or a related website.

You may not use a false email address, impersonate another person or otherwise mislead us or third parties regarding the origin of comments.

You are responsible for the comments you submit and their accuracy. We assume no liability for comments posted by you or another party, except to the extent otherwise required by applicable law.

SECTION 12 — PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy.

Please review our Privacy Policy for information about how we collect, use, disclose, retain and protect personal information.

SECTION 13 — ERRORS, INACCURACIES AND OMISSIONS

Information available through the site or Service may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, ingredients, pricing, promotions, offers, product shipping charges, transit times, subscription terms or product availability.

We reserve the right to correct errors, inaccuracies or omissions and to change or update information or cancel orders where information in the Service or on a related website is inaccurate, including after an order is submitted, subject to applicable law.

If we cancel an order after payment has been collected, we will issue an appropriate refund to the original payment method.

Except as required by applicable law, we do not undertake an obligation to update, amend or clarify information in the Service or on a related website, including pricing information.

A specified update or refresh date should not be interpreted as indicating that all information in the Service or on a related website has been modified or updated.

SECTION 14 — PROHIBITED USES

In addition to other prohibitions in these Terms, you are prohibited from using the site or its content:

For an unlawful purpose;
To solicit others to perform or participate in unlawful acts;
To violate an international, federal, provincial, state or local law, regulation, rule or ordinance;
To infringe or violate our intellectual property rights or the intellectual property rights of another person;
To harass, abuse, insult, harm, defame, slander, disparage, intimidate or unlawfully discriminate;
To submit false, fraudulent or misleading information;
To upload or transmit viruses, malware or other malicious code that may affect the functionality or operation of the Service, a related website, another website or the Internet;
To collect, use or track the personal information of others without appropriate authorization;
To spam, phish, pharm, pretext, spider, crawl, scrape or engage in similar activities;
For an obscene, fraudulent or immoral purpose;
To interfere with or circumvent security features of the Service, a related website, another website or the Internet;
To place orders for unauthorized resale, redistribution or commercial use; or
To misuse or attempt to circumvent our Return, Refund and HER dailys Promise Policy, promotional offers or Subscribe & Save program.

We reserve the right to suspend or terminate access to the Service for violating these prohibited uses, subject to applicable law.

SECTION 15 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that use of the Service will be uninterrupted, timely, secure or error-free.

We do not warrant that results obtained from using the Service will be accurate or reliable.

From time to time, we may suspend or remove the Service for indefinite periods or cancel the Service without notice, subject to applicable law.

You agree that your use of, or inability to use, the Service is at your own risk.

Except:

As expressly stated by Her Dailys, including under the HER dailys Promise;
For representations, warranties, conditions, rights or remedies that cannot legally be excluded; or
As otherwise required by applicable law,

the Service and products and services delivered through the Service are provided on an “as is” and “as available” basis without representations, warranties or conditions of any kind, whether express or implied.

To the maximum extent permitted by applicable law, this includes implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement.

The HER dailys Promise is limited to the specific terms, eligibility requirements, exclusions and remedies described in the Return, Refund and HER dailys Promise Policy. It does not constitute a guarantee of any medical, therapeutic, nutritional, fertility, pregnancy, postpartum, hormonal, wellness or other health result.

To the maximum extent permitted by applicable law, Her Dailys and our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers and licensors will not be liable for any indirect, incidental, punitive, special or consequential damages, including lost profits, lost revenue, lost savings, loss of data, replacement costs or similar damages arising from:

Your use of or inability to use the Service;
Products purchased through the Service;
Errors or omissions in content;
Content or products posted, transmitted or otherwise made available through the Service; or
Any other claim relating to the Service or a product,

whether based in contract, tort, negligence, strict liability or another legal theory, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.

Where a jurisdiction does not permit the exclusion or limitation of certain damages, our liability will be limited only to the maximum extent permitted by applicable law.

SECTION 16 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless Her Dailys and our parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers and employees from third-party claims or demands, including reasonable legal fees, arising from:

Your material breach of these Terms or a document incorporated by reference;
Your unlawful use of the Service;
Your violation of applicable law; or
Your violation of the rights of a third party.

This section does not require you to indemnify Her Dailys for conduct caused by Her Dailys to the extent such an obligation is prohibited by applicable law.

SECTION 17 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will remain enforceable to the fullest extent permitted by applicable law.

The unenforceable portion will be deemed severed from these Terms. The determination will not affect the validity or enforceability of the remaining provisions.

SECTION 18 — TERMINATION

The obligations and liabilities of the parties incurred before the termination date will survive termination where their nature requires them to survive.

These Terms remain effective unless terminated by you or us.

You may terminate these Terms by notifying us that you no longer wish to use the Service or by ceasing to use the site.

If, in our reasonable judgment, you fail or we reasonably suspect that you have failed to comply with a material provision of these Terms, we may suspend or terminate your access to the Service without notice, subject to applicable law.

You will remain responsible for amounts properly due up to and including the date of termination.

Termination of access to the Service does not automatically cancel a Subscribe & Save subscription. Subscriptions must be cancelled in accordance with Section 8 unless we confirm otherwise in writing.

SECTION 19 — ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms will not constitute a waiver of that right or provision.

These Terms, together with the policies and operating rules posted by us on the site or otherwise incorporated by reference, constitute the entire agreement between you and Her Dailys regarding your use of the Service.

The incorporated policies include, as applicable:

The Return, Refund and HER dailys Promise Policy;
The Privacy Policy;
The Shipping Policy;
Any Subscribe & Save terms presented at enrolment; and
Any other terms expressly made applicable to a purchase, promotion, program or feature.

These Terms supersede prior or contemporaneous agreements, communications and proposals relating to the Service, whether oral or written, including prior versions of these Terms.

An ambiguity in these Terms will not automatically be interpreted against either party solely because that party participated in drafting the Terms.

SECTION 20 — GOVERNING LAW

These Terms and any separate agreements through which we provide the Service will be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without limiting any mandatory consumer-protection rights that apply to you based on your province, territory, state or jurisdiction of residence.

SECTION 21 — CHANGES TO THESE TERMS

You may review the most current version of these Terms at any time on this page.

We reserve the right to update, change or replace portions of these Terms by posting an updated version on the website, subject to applicable law.

We will identify the effective date of the current version at the beginning of these Terms.

Unless otherwise required by law, a material change will apply prospectively. Terms governing an order placed before the effective date of a material change will generally remain subject to the version in effect when the order was placed.

Your continued use of the website or Service after an updated version becomes effective constitutes acceptance of the updated Terms.

Changes to Subscribe & Save orders are also subject to the notice provisions in Section 8.
